GreenLift, Inc., websites managed by GreenLift, Inc. and its associated services are provided to you under these Terms of Service (referred to as the "TOS") and any amendments and supplements that may be posted to them by GreenLift, Inc. ("GreenLift, Inc."). Your use of this web site and its services shall be deemed to constitute your agreement to be bound by the terms of this TOS, which may be updated by us from time to time without notice to you. By continuing to visit this website and use our services, you automatically agree to abide by our Terms of Service outlined below. IF YOU DO NOT ACCEPT THIS AGREEMENT, YOU MAY NOT ACCESS THE SITE OR USE ANY OF THE SERVICES.
In addition, when using particular GreenLift, Inc. features, you agree to be subject to any posted guidelines or rules applicable to such services that may be posted from time to time. All such guidelines or rules are hereby incorporated by reference into the TOS.

Services / Termination
Subject to full compliance with the Terms of Use, GreenLift, Inc. may offer to provide certain services and content, as described more fully on the Site, ("Services"). Services shall include, but not be limited to, any service and content GreenLift, Inc. performs for you, as well as the offering of any materials displayed or performed on the Site. GreenLift, Inc. may change, suspend or discontinue the Services including any Content for any reason, at any time, including the availability of any feature or content. GreenLift, Inc. may also impose limits on certain features and services or restrict your access to parts or all of the Services without notice or liability.
Content
You understand that all information, data, text, software, music, sound, photographs, graphics, video, messages or other materials ("Content") are the sole responsibility of the person with whom the Content originated. This means that you, and not GreenLift, Inc., are responsible for all Content that you disseminate or transmit via the GreenLift, Inc. web site.
You agree that you will not use the web site in any way to:
* Disseminate or transmit Content that is unlawful, harmful, threatening, abusive, harassing, tortuous, libelous, pornographic or invasive of another'ss privacy
* Disseminate or transmit Content that infringes on any patent, trademark, trade secret, copyright or other proprietary rights of any other party
* Disseminate or transmit any unauthorized advertising, promotional materials, chain letters, spam, junk mail, or any other type of mass unsolicited email to people or entities who have not agreed to receive such materials
* Impersonate a GreenLift, Inc. staff member, community member or other person or entity
* Stalk or harass another member
* Interfere with, disrupt or harm the web site or servers or networks connected to the web site
* Disseminate or transmit or make otherwise available any materials that contains software viruses, computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment Collect or store personal data about other users
* Use the web site for illegal purposes, including, but not limited to, disseminating or transmitting illegal and illegally obtained materials
You acknowledge that GreenLift, Inc. reserves the right to immediately, without notice and at its sole discretion, refuse, move or delete any Content available via its web site, for any reason, including without limitation, Content that violates the TOS.
You acknowledge and agree that GreenLift, Inc. may preserve Content and may also disclose Content if required to do so by law or in the good faith belief that such preservation or disclosure is necessary to (i) comply with legal process; (ii) enforce the TOS; (iii) respond to claims that any Content violates the rights of third-parties; or (iv) protect the rights, property, or personal safety of GreenLift, Inc., its users and the public.
Indemnity
You agree to indemnify and hold GreenLift, Inc. (including without limitation our agents, employees, officers, directors, subsidiaries, parent and affiliated companies) harmless, and, at GreenLift, Inc.'s request, to defend GreenLift, Inc. from and against any claim, demand, cause of action, debt, loss or liability, including reasonable attorneys' fees, to the extent that such action is based upon, arises out of, or relates to: (i) your use of (or inability to use) any and all of the Services; (ii) your violation of the terms and conditions of this Agreement; (iii) the infringement by you, or any other person using your password and account, of any right of any person or entity; or (iv) any other of your activities relating to your use of this Site and the Services. This indemnity shall be in addition to and not limited by any other indemnity.
Protection of Intellectual Rights and License
No portion of the GreenLift, Inc. website or any of its subparts, including but not limited to: written content, structure, graphics, designs, algorithms, object code, source code, creative concepts or results, in whole or in part, may be reproduced in any form, or by any means, without prior written permission from GreenLift, Inc.
You are hereby granted a nonexclusive, nontransferable, revocable, limited license to view, copy and print one or several copies, and no more than several copies, of limited portions of the content retrieved from the web site for your personal, noncommercial purposes, provided that you do not remove or obscure the copyright notice or other notices displayed on the content. You may not copy, reprint, modify, distribute, or sell content retrieved from the web site in any way, for any commercial or business use (including use by or for any non-profit entity) or provide it to any commercial or business (including to any non-profit entity), including other web sites, regardless of whether you receive compensation, without the prior written permission of GreenLift, Inc. "GreenLift, Inc." and any and all logos used on this site in connection with the GreenLift, Inc. name are trademarks of GreenLift, Inc. (the "GreenLift, Inc. Marks"). You may not display or use in any manner the GreenLift, Inc. Marks without GreenLift, Inc.'s prior written permission.
You may not frame any trademark, logo, or other proprietary information on this web site without the express written consent of GreenLift, Inc. Except as expressly provided in the TOS, nothing contained in the Agreement or on the web site shall be construed as conferring any other license or right, expressly, by implication, by estoppel, or otherwise to any of GreenLift, Inc.'s intellectual property rights or to any third party's intellectual property rights. Any rights not expressly granted herein are reserved.
Disclaimer and Limitations of Liability
GreenLift, Inc. is a U.S. registered 501(c)(3) tax-exempt nonprofit organization that operates a variety of services.
GreenLift, Inc. encourages an open exchange of information and ideas between members. However, GreenLift, Inc. cannot and does not review communications between members. GreenLift, Inc. does not guaranty or endorse the accuracy of any information you may receive from other members.
You agree that you will participate in any GreenLift, Inc. program in a manner consistent with any and all applicable laws and regulations. You hereby agree to indemnify and hold GreenLift, Inc., and each of its respective affiliates, directors, officers, employees, and agents harmless for any losses, costs, liabilities and expenses (including reasonable attorneys' fees) relating to, or arising out of any breach of the terms and conditions of this agreement, including those set forth at the Terms of Service.
You hereby agree to completely release GreenLift, Inc., and each of its respective affiliates, directors, officers, employees and agents from all claims, judgments, demands, liabilities, and actions that you may have arising out of, or in any way relating to, your participation in any GreenLift, Inc. program. IN NO EVENT WILL GREENLIFT, INC. BE LIABLE TO YOU FOR ANY DAMAGES ARISING FROM YOUR PARTICIPATION IN ANY GREENLIFT, INC. PROGRAM OR SERVICE.
If any provision of this agreement is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of this agreement, which shall remain in full force and effect. No waiver by either GreenLift, Inc. or you of any term or condition of this agreement, whether by conduct or otherwise, shall be deemed a further or continuing waiver of such term or condition, or a waiver of any other term or condition of this agreement.
The information on GreenLift, Inc.'s sites come from a variety of sources and includes information that is subject to change without notice. GreenLift, Inc. cannot guarantee and does not warrant that the information is accurate, complete, or current; that your access will be uninterrupted; or that material accessible from this site is free from viruses.
The site, including all content, software, and information made available on this site, and any information or services provided by GreenLift, Inc., are provided "as is." With respect to documents or data available from this server, GreenLift, Inc. does not make -- and expressly disclaims -- any warranty, express or implied, including but not limited to the warranties of merchantability and fitness for a particular purpose. GreenLift, Inc. is committed to preserving the confidentiality of information provided to it by applicants to and participants in its program. GreenLift, Inc. cautions all applicants and participants, however, that it shall not be liable for any direct, incidental, consequential, indirect or punitive damages, whether under any contract, strict liability or other theory, arising out of or in connection with any breaches of security or other failure involving this site or GreenLift, Inc.'s internal systems, or resulting from any viruses or other code that may affect any applicant's or participant's equipment, data or other property, as a result of using of this site.
Authorized Third Parties
We reserve the right to allow third parties to provide any necessary services to us and/or to users to enable us to provide the Service.
Governing Law and Jurisdiction
These Terms of Service are governed by, and construed in accordance with, the laws of the U.S. and the State of California, without giving effect to its conflicts-of-law principles. You agree to submit to the personal jurisdiction of the federal and state courts located in the State of California with respect to any legal proceedings that may arise in connection with the Service or from a dispute as to the interpretation or breach of these Terms of Service.
Access Outside the United States
We do not represent that the Service or the Content are appropriate or available for use in countries outside the U.S. If you choose to access or use the Service from outside the U.S., you are responsible for compliance with foreign and local laws, if applicable.
